1.2 These terms take effect when you first complete checkout for a subscription, and they apply to every subscription and to every use of the service by you and your people from that moment.
1.3 The person completing checkout confirms that they are authorised to bind the Client.
1.4 The Data Processing Agreement published at /legal/dpa forms part of these terms and is incorporated by reference. Where it conflicts with these terms on a matter of personal data, it prevails.
2. Definitions
Service — the Spherum software supplied by us, including the company workspace and the application used by owners.
Operator — a person given access to your workspace by you.
Owner — an individual who holds a sphere of their own data and decides who may see it. An owner is not your user and not ours to direct.
Sphere — the set of data an owner holds in the service.
Grant — an owner’s decision to make specified data in their sphere available to you, which the owner may withdraw at any time.
Token — a physical article bearing a reference that opens a public emergency view of the sphere it is linked to.
Declared volume — the number of people you state you will cover when you subscribe, on which your price is calculated.
Subscription period — the month or the year for which you have paid.
3. What the subscription gives you, and what it does not
3.1 For the subscription period, and subject to payment, you may use the service for your own internal purposes: invite people to create spheres, receive what they grant you, and administer that within your workspace.
3.2 You may not resell, sublicense or make the service available to anyone outside your organisation, copy or reverse-engineer it, use it to build a competing product, circumvent its access controls or volume limits, or use it in breach of any law.
3.3 You may not use the data reaching you through the service for any purpose other than the one you stated to the owner when you asked for it.
3.4 The service is not an emergency service. It stores and delivers contact details; it does not summon help, does not monitor anything, and does not guarantee that anyone will be reached. You must not present it to your people as a substitute for emergency services or for your own safety procedures.
3.5 Data in a sphere belongs to the owner. A grant gives you access on the owner’s terms, and it ends when the owner withdraws it. We are not able to keep a grant alive for you, and its withdrawal is not a failure of the service.
4. Your workspace and your people
4.1 You decide who among your people gets an operator account and what they may do. You are responsible for their acts and omissions in the workspace as if they were your own.
4.2 You keep credentials secure, remove access from people who no longer need it, and tell us without delay if you believe an account has been compromised.
4.3 We may suspend an individual account where we reasonably believe it is being used unlawfully or in a way that threatens the security of the service. We tell you when we do.
5. Price and declared volume
5.1 Your price is calculated from the declared volume you state at checkout and the plan you choose. Plans are billed monthly or annually, as selected.
5.2 Prices are those shown at checkout for the plan and volume you select. We may change our prices, and a change applies to you from your next renewal, with notice under clause 15.
5.3 If your actual use exceeds your declared volume, you must increase your declared volume. Use above the declared volume is chargeable at the rate then published for additional coverage, and we may invoice it separately.
5.4 A reduction in declared volume takes effect at your next renewal. It does not produce a refund for the current period.
6. Trial and first payment
6.1 A subscription begins with a free trial of 14 days.
6.2 A payment method is collected when the trial starts. It is not charged during the trial.
6.3 On the 15th day the first payment is taken automatically, for the plan and declared volume you selected, unless you have cancelled before then.
6.4 Cancel at any point during the trial and no payment is taken. Access ends when the trial period expires.
6.5 One trial per Client. We may decline a trial where one has already been used.
7. Payment, renewal and non-payment
7.1 Payments are processed by Stripe. Card details are entered on Stripe’s payment page and are not received or stored by us.
7.2 Subscriptions renew automatically at the end of each subscription period, at the price and declared volume then in effect, until cancelled.
7.3 If a payment fails, we retry it in line with our payment provider’s schedule and notify you. If payment is not received within 14 days of the due date, we may suspend access to the workspace.
7.4 Suspension does not terminate the subscription and does not relieve you of amounts due. We restore access once payment is received. If payment is still outstanding 30 days after the due date, we may terminate under clause 14.
7.5 During suspension, spheres and grants remain intact, and owners retain full control of their own data.
8. Taxes
8.1 We are not at present registered for Value Added Tax in the United Arab Emirates. Prices are stated exclusive of VAT, and no VAT is charged.
8.2 If we become required to register, VAT will be added to prices at the applicable rate from the date registration takes effect, and we will tell you before it applies to you.
8.3 Any tax, duty or withholding imposed in your own jurisdiction is yours to bear. Amounts payable to us are paid free of deduction; if a deduction is required by law, you pay whatever additional amount is needed for us to receive the full sum.
9. Cancellation and refunds
9.1 You may cancel at any time, in either of these ways:
- in the billing portal, provided by Stripe, where you can also update your payment method and download your invoices. The link to it is on our support page and in your workspace; or
- by writing to contact@spherum.ae from the email address of one of your workspace administrators.
A cancellation in the billing portal takes effect when you confirm it there. A cancellation by email takes effect on the day we receive it, and we confirm it to you in writing.
9.2 Cancellation stops the next renewal. It does not end the current subscription period: access continues to the end of the period you have paid for.
9.3 Paid periods are not refunded, in whole or in part, and this applies equally to monthly and annual subscriptions. Cancelling an annual subscription part-way through the year does not produce a pro-rata refund.
9.4 We refund where we have charged you in error, where we have taken a payment after a valid cancellation, or where the law requires it.
9.5 If we terminate your subscription for a reason that is not your breach, we refund the unused part of the period you have paid for.
9.6 After the subscription ends, the data available to you at that moment remains available for export for 30 days. After that period it is deleted, and it cannot be recovered.
10. Tokens
10.1 Tokens are sold separately. They are not included in any subscription, are ordered separately, and are invoiced separately on the terms of that order.
10.2 Ownership and risk in tokens pass to you on delivery to the address you give us. Delivery dates given to you are estimates.
10.3 If a token arrives damaged, is defective, or does not open the view it is meant to open, tell us within 14 days of delivery and we will replace it at our cost. If replacement is not practicable, we refund the price of the affected tokens.
10.4 Each token carries a unique reference issued to you, and once a batch has left us we cannot tell whether a token has been scanned. Tokens are therefore not returnable for any reason other than the one in clause 10.3.
10.5 A token is a pointer, not a store: it holds no personal data. Losing a token exposes only the emergency view of the sphere it is linked to, and that link can be broken at any time — by the owner, or by you in your workspace.
11. Personal data
11.1 For data held in spheres, you are the controller and we are your processor. The Data Processing Agreement at /legal/dpa governs that processing.
11.2 You are responsible for having a lawful basis for what you ask owners to provide, for asking only for what you need, and for what you do with the data once you hold it.
11.3 Our own processing — your operators’ accounts, billing, our correspondence with you — is described in the Privacy Notice at /legal/privacy.
12. Availability, support and changes to the service
12.1 We work to keep the service available and will give reasonable notice of planned maintenance where we can. We give no uptime commitment, and the service is provided as it is.
12.2 Support. Support is provided by email at support@spherum.ae during business hours: 09:00 to 18:00 Dubai time (GST, UTC+4), Monday to Friday, excluding public holidays in the United Arab Emirates.
12.3 First response. We aim to respond first within the periods below. The severity of a report is assessed by us, acting reasonably, on the description you give. These are targets for a first response, not for a fix.
| Severity | What it means | First response |
|---|---|---|
| Critical | The service is unavailable, or emergency data cannot be reached at all | 4 business hours |
| High | A core function is broken; a workaround exists | 1 business day |
| Normal | A question, a configuration issue, a minor fault | 2 business days |
| Low | A request, a cosmetic issue, anything not blocking | 5 business days |
12.4 Time runs during business hours only. A report arriving outside them is treated as arriving at the start of the next business day. Missing a target does not give rise to a credit or a refund.
12.5 We develop the service continuously and may change how it works. We will not make a change that removes a material capability you are paying for without notice under clause 15.
13. Intellectual property
13.1 The service, its software, interfaces, designs and documentation remain ours. These terms give you the right to use the service during your subscription and nothing more.
13.2 Your data remains yours. Data in spheres belongs to the owners of those spheres, and nothing here transfers it to you or to us.
13.3 If you send us suggestions about the service, we may use them without obligation to you.
14. Term and termination
14.1 These terms run for as long as you hold a subscription.
14.2 You may terminate by cancelling under clause 9.
14.3 We may terminate on 30 days’ notice, or immediately if you are in material breach and have not remedied it within 14 days of being asked to, if you are 30 days late in payment, or if you use the service unlawfully.
14.4 On termination, your workspace closes, the 30-day export window in clause 9.6 runs, and everything in the Data Processing Agreement about return and deletion applies.
14.5 Termination does not affect grants as between owners and you outside the service, nor any obligation you have taken on towards your people.
15. Changes to these terms
15.1 We may change these terms. The version and the date it came into force appear at the top of this page.
15.2 We give notice of a material change at least 30 days before it takes effect, by email to your workspace administrators. The change applies to you from your next renewal after that notice.
15.3 If you do not accept a material change, you may cancel before it takes effect. Continuing to use the service after that point means you accept it.
16. Liability
16.1 Nothing here excludes liability that cannot be excluded by law, including liability for fraud.
16.2 Neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings.
16.3 Our total liability to you is limited to what you paid us for the service in the 12 months before the event the claim is based on.
16.4 That limit is a single one. It covers everything arising out of these terms and out of the Data Processing Agreement together, including any claim about personal data. There is no separate limit for data claims, and no data claim sits outside this limit.
16.5 We are not liable for any consequence of an owner withdrawing a grant, correcting their data, or closing their sphere. Those are the owner’s rights and the point of the service.
16.6 We are not liable for the outcome of an emergency, including any failure to reach a contact, see clause 3.4.
17. Governing law and jurisdiction
17.1 These terms are governed by the federal law of the United Arab Emirates and the law of the Emirate of Dubai.
17.2 The courts of Dubai have exclusive jurisdiction over any dispute arising out of or in connection with these terms.
18. General
18.1 Notices. Notices to us go to contact@spherum.ae. Notices to you go to the email addresses of your workspace administrators.
18.2 Assignment. You may not assign these terms without our written consent. We may assign them to a successor to our business, on notice to you.
18.3 Force majeure. Neither party is liable for a failure caused by something beyond its reasonable control, so long as it tells the other and works to resume. This does not excuse an obligation to pay.
18.4 Severability. If a provision is unenforceable, the rest stands.
18.5 No waiver. Failure to enforce a right is not a waiver of it.
18.6 Entire agreement. These terms, the Data Processing Agreement, and the order you place at checkout are the whole agreement between us on this subject.
18.7 Language. These terms are issued in English. A translation is provided for convenience only; in a conflict, the English text prevails.
